Terms & Conditions

These Terms & Conditions ("Terms") govern your use of toran.co.za (the "Site") and any services provided by Toran ("Toran", "we", "us"). By using the Site, submitting an enquiry, or engaging us for a project, you agree to be bound by these Terms. If you don't agree, please don't use the Site or our services.

Toran provides digital systems for businesses, including but not limited to:

• Landing page and website design & development.
• Ecommerce store build-outs and payment integration.
• Automation systems, including CRM and email automation.
• Ongoing care plans covering security, maintenance, and support.

The exact scope, deliverables, and price for any project are set out in a written quote or proposal, which forms part of the agreement between you and Toran once accepted.

Prices displayed on the Site, such as starting prices for our system tiers or care plans, are indicative only. Final pricing is confirmed in a custom quote based on your specific requirements and remains valid for the period stated in that quote. Toran reserves the right to adjust pricing for new quotes at any time.

Unless otherwise agreed in writing, projects require a non-refundable deposit before work begins, with the remaining balance due on delivery or according to the milestone schedule set out in your proposal. Care plan subscriptions are billed monthly in advance and are month-to-month with no lock-in contract, cancellable at any time before the next billing date.

Timelines, such as our standard 14-day turnaround for Launch and Sell systems, are estimates based on timely delivery of content, feedback, and approvals from you. Delays in providing these may extend the delivery date. Toran will communicate any material timeline changes as soon as they become known.

To deliver your project, we rely on you to:

• Provide accurate business information, content, and brand assets in good time.
• Respond to review requests and feedback within a reasonable timeframe.
• Hold the necessary rights to any content, images, or trademarks you supply us.
• Keep any account credentials shared with you secure.

Once a project is paid in full, ownership of the final deliverables, including design and code specific to your project, transfers to you. Toran retains the right to showcase completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing.

Underlying tools, frameworks, internal code libraries, and know-how developed by Toran remain our property and may be reused across other projects.

Care plans renew automatically each month until cancelled. You may cancel at any time by notifying us before your next billing date; cancellation takes effect at the end of the current billing period, and no partial refunds are issued for the current month. Cancelling a care plan does not affect ownership of previously delivered project work.

We aim to deliver reliable, well-tested systems, but we don't guarantee specific business outcomes, such as revenue or growth figures, as these depend on factors outside our control. The Site and our services are provided on an "as is" and "as available" basis, to the fullest extent permitted by law.

To the fullest extent permitted by law, Toran's total liability for any claim arising from our services is limited to the amount you paid us for the project or care plan giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including loss of revenue or business opportunity.

Either party may terminate a project agreement in writing if the other party materially breaches these Terms and fails to remedy it within a reasonable period after being notified. Work completed and costs incurred up to the termination date remain payable.

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or our services will be subject to the jurisdiction of the South African courts.

We may update these Terms from time to time to reflect changes in our services or legal obligations. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Site or our services after changes take effect constitutes acceptance of the updated Terms.
